第一章 总 则

第一条 中国物流与采购联合会公共采购分会，简称“中物联公共采购分会”。英文名称Public Procurement Association of CFLP，缩写形式为CPPA。 第二条 本会是中国物流与采购联合会下属的分支机构，是由从事公共采购及相关业务的法人、非法人机构和个人自愿组成的全国性行业组织。

第三条 本会的宗旨是：坚持政社分开、权责明确、依法自治的改革方向，以服务为宗旨，致力于公共采购领域行业规范自律建设和协调管理，真正起到政府与市场之间桥梁和纽带的作用。

第四条 本会在中国物流与采购联合会的领导下开展工作，在人事、财务、重要业务活动、对外交往以及接受捐赠等方面接受中国物流与采购联合会的管理和监督。

第五条 本会常设机构的办公地点设在北京市西城区月坛北街26号恒华国际商务中心C座605室。秘书处办公地点设在北京市朝阳区金桐西路10号远洋光华国际AB座7层。

第二章 业务范围

第六条 本会的职能和主要业务：

（一）宣传贯彻国家有关的方针、政策、法律、法规、条例，向政府有关部门反映会员的正当愿望和合理诉求，维护会员的合法权益；

（二）开展公共采购领域的理论研究和实证调研工作，举办相关的会议、会展活动，推广公共采购先进理念和实践；

（三）坚持公开、公平和公正的原则，制定公共采购行业标准、规范，加强行业自律性管理和建设，推动公共采购的透明度建设；

（四）推动我国公共采购信息化建设，完善适合我国国情的电子化采购模式，统一全国公共采购的作业标准和作业流程，制定和颁布统一的公共编码体系和相关标准规范；

（六）建立公共采购信息统计和发布制度，协助政府落实公共采购产业扶持政策；

（七）扩大国际交流与合作，引进和借鉴国际公共采购先进理念、技术和方

法，与国际公共采购组织建立协调机制，协助政府参与有关争端谈判，维护我国公共采购利益；

（八）坚持以公共服务社会化和市场化为导向，处理好政府与市场的关系，以公共采购电子化平台为依托，大力发展包括安全认证、企业征信、保险保理、物流、第三方支付以及电子发票等第三方服务；

（九） 组织做好行业咨询评估、宣传推广、资质认定、投融资及其他中介服务，接受委托参与协调行业之间的经济、法律关系，调解会员之间纠纷，为会员提供法律咨询服务；

（十）主办相关行业报刊、网站与数字媒体，编辑出版行业业务书籍等； （十一）承担政府部门、中国物流与采购联合会及其他单位和组织委托的工作，开展有益于行业发展的活动和其他事项。

第三章 会 员

第七条 凡承认本会工作规则，自愿履行会员权力和义务，按时缴纳会费，在我国境内从事公共采购以及开展相关业务的法人、非法人机构和个人均可申请加入会。单位会员应委派业务主管领导人作为该会员单位的代表，如有变更，应及时通知本会秘书处备案。 第八条 会员入会程序： （一） 提交入会申请书；

（二） 经本会常务理事会或会长办公会讨论通过； （三） 由本会秘书处颁发会员证书。 第九条 会员享有下列权利：

（一） 本会的选举权、被选举权和表决权；

（二） 参加本会举办的活动和获得本会服务的权利； （三） 通过本会向有关部门反映意见和建议的权利；

（五） 对本会工作的批评建议和监督的权利； （六） 会员代表大会决议增补的其他权利。 第十条 会员履行下列义务：

（一） 遵守本会制定的工作规则、准则、规范和规则等； （二） 维护本会合法权益；

（三） 按规定交纳会费，并可自愿提供资助；

（四） 执行本会决议，积极参加本会的各项活动，完成本会交办的工作；

（五） 向本会反映情况，按本会规定提供有关资料； （六） 会员代表大会决议增补的其他义务。

第十一条 会员退会应书面通知本会，并交回会员证。会员如一年不按规定缴纳会费又未以书面形式提出缓交或减免申请，并经本会秘书处讨论通过的，视为自动退会。

第十二条 会员如有严重违反本会工作规则的行为，经常务理事会表决通过，予以除名。

第四章 组织机构

第十三条 会员代表大会是本会的最高权力机构，其职权是： （一） 制定和修改工作规则； （二） 选举和罢免会长、副会长； （三） 审议理事会工作报告和财务报告； （四） 决定终止事宜或其它重大事项。

第十四条 会员代表大会须有三分之二以上的会员代表出席方能召开，其决议须经到会会员半数以上表决通过方能生效。

第十五条 会员代表大会每届三年。因特殊情况需提前或延期换届的，由理事会表决通过，但延期换届最长不超过一年。

第十六条 会长联席会由会长、副会长、秘书长、副秘书长组成，是会员代表大会的执行机构，在闭会期间领导本会开展日常工作，对会员代表大会负责。其职责是：聘任或解聘秘书长、副秘书长及各部门负责人。
