摘要

上市公司股利分配是公司利润分配的一部分，是公司理财活动的核心内容

之一。恰当的股利政策，有利于上市公司在资本市场上树立良好形象,为其进一步发展创造机会和条件，公司股利政策的制定应以维持和促进公司市场价值为目标，充分协调股东利益和公司的长远发展。西方国家早在二十世纪五十年代便开始进行股利政策理论的研究，经过五十多年的发展已取得了巨大成果。我国随着股票市场的发展，上市公司越来越多，其股利分配政策各有差异，其中也存在许多不规范的行为。

本文以美的集团股份有限公司为样本，通过考察该公司近年来实际股利分配的情况，揭示公司所采取的股利分配政策，并横向对比其他类似企业，分析该公司现金股利的多少。从理论以及宏观和微观等方面分析有关因素对公司股利政策的影响，并对该公司的股利分配政策进行评析，指出其中的合理和不足之处，提出改进意见，可望对优化美的集团目前的股利政策提供参考，也希望能对电器行业股利政策提供借鉴和参考。

1 绪论

上市公司的股利分配是公司理财活动的核心内容之一，恰当的股利政策有利于上市公司在资本市场上树立良好形象，为其进一步发展创造机会和条件。西方国家早在二十世纪五十年代便开始进行股利政策理论的研究，经过五十多年的发展已取得了巨大成果。我国随着股票市场的发展，上市公司越来越多，其股利分配政策各有差异。那么，我国上市公司在选择股利分配政策时到底持什么态度?他们的股利分配方式有哪些？影响上市公司股利分配政策的因素有哪些?有什么不规范之处及其原因是什么?这些问题都值得我们去探讨和研究。

本文选择广东美的集团股份有限公司（以下简称“美的集团”）为研究对象，该公司于1993年11月12日在深圳证券交易所上市。2006年起至今，受国内经济、气候等多方面积极因素的影响，家电行业全面回暖，出现了快速的恢复性增长，美的集团凭借完善的内部管理和竞争优势,实现了效益与规模的快速增长，其发展前景越来越值得人们关注。

创业于1968年的美的集团是一家以家电业为主的现代化企业集团，企业主要经营空调、风扇、电饭煲、微波炉、电暖器、厨具、微电机、压缩机等多项产品，其中空调产业占主营业务的70%左右，拥有中国最大、最完整的空调产业链，空调器居国内同行业第二位，空调电机产销量全国第一。几十年来美的集团不断发展，已成为中国最具规模的白色家电生产基地和出口基地之一。1992年美的集团进行 内部股份制改造并于1993年在深圳证券交易所上市，是中国第一家由镇企业改组 上市的公司。目前，该公司共有股本 126,071 万股，其中 A 股流通股 91,511.3 万股，该公司的股本结构如图1-1所示。

美的集团是当今中国最大的家电生产基地和出口创汇基地之一，在中国家电行业拥有举足轻重的地位。对美的集团股利政策进行研究，从理论以及宏观和微观等方面分析有关因素对公司股利政策的影响，并对该集团的股利分配政策进行评析，指出其中的合理和不足之处，提出改进意见，可望对优化美的集团目前的股利政策提供参考，也望能对电器行业制定股利政策提供借鉴和参考。
